- Junior Legal Counsel – Overseas PV Investment & Financing
Overview
Provide end-to-end legal support for international solar (PV) investments, M&A, joint ventures, project finance, and asset management. Act as a key partner to the investment team, leading document drafting/negotiation and managing deal risk across multiple jurisdictions.
Key Responsibilities
- Draft, review, and negotiate core documents: PPA/VPPA, CfD, SPA/APA, JV/shareholders, EPC/O&M, interconnection/grid, financing facilities, security and direct agreements, NDAs, LOIs, and term sheets.
- Structure deals with investment, finance, tax, technical and development teams; align legal terms with commercial/technical assumptions.
- Lead legal due diligence (land/title, permits, interconnection, ESG, sanctions/supply chain, disputes) and produce clear risk and mitigation plans.
- Manage outside counsel and advisors; control scope, budget, and quality.
- Support project finance and refinancing; interface with lenders/MLAs/DFIs/ECAs and ensure consistency between project and finance documents.
- Oversee construction procurement and O&M contracts (LDs, COD/performance, warranties).
- Ensure compliance with energy laws, grid codes, foreign investment, anti‑corruption, antitrust, export controls/sanctions; advise on FX and tax considerations.
- Provide post-investment legal support for governance, claims, disputes, refinancing, and exits.
Qualifications
- Qualified lawyer (PRC and/or major common/civil law jurisdiction).
- 3+ years cross-border transactions; 1+ years in renewable/power or infrastructure. PV experience preferred.
- Trained at a recognized international law firm and/or in-house at an energy/infrastructure company; proven deal leadership to closing.
- Strong drafting and negotiation skills; excellent English and Chinese.
Nice to Have
- Closed PPAs/CfDs and utility-scale PV or platform M&A deals.
- Project finance experience with commercial banks/DFIs/ECAs.
- Knowledge of storage or hybrid projects; additional languages.
- ESG or arbitration experience.
Location & Travel
- Beijing/Shanghai/Shenzhen or other hubs (flexible). International travel as needed.
