Full-Life is seeking a seasoned and business-oriented
VP, Head of Legal
to oversee the company's legal function. This role reports directly to senior leadership and serves as a key strategic advisor to the executive team. The ideal candidate will provide leadership on legal and compliance matters across Full-Life's operations in China, Europe, and the U.S., ensuring robust legal support for all business activities including corporate governance, transactions, risk management, and regulatory compliance. This role will also lead the legal team in providing proactive, solution-oriented counsel that aligns with Full-Life's growth and compliance objectives.

Key Responsibilities

  • Serve as the company's chief legal advisor, providing strategic legal guidance to the executive team on all major business decisions.
  • Support and oversee legal aspects of major corporate deals and transactions, including private/public financing, licensing, which covers deal structure design, term sheets review, legal documents review and negotiation on needed basis, with close collaborations with IR, finance, and BD teams to ensure legal alignment in fundraising and investor-facing initiatives.
  • Lead the global Legal function to support daily operations in China, the U.S., and Europe.
  • Provide guidance and training to internal teams on legal and regulatory developments.
  • Lead the company's legal risk management and compliance initiatives; ensure appropriate internal controls are in place.
  • Ensure corporate governance compliance and assist with board-related legal matters.
  • Manage external counsel relationships effectively across jurisdictions.
  • Support ad-hoc legal matters and special projects as required by the business.

Qualifications & Skills

Education & Experience

  • Law degree (LL.B. or J.D.) from a reputable institution.
  • 12+ years of international legal experience, including both top-tier law firm and in-house counsel roles, preferably in high-growth biotech/life sciences companies.
  • Demonstrated expertise in fundraising, private equity, and public offerings is a plus.
  • In-depth understanding of legal frameworks in China, the U.S., and Europe.
  • Prior experience supporting cross-border transactions and operations in regulated industries (e.g., pharma/biotech).
  • Familiarity with listed company governance and disclosure obligations is a plus.
  • Strong business acumen with the ability to balance legal risk with business needs.
  • Bilingual proficiency in Mandarin and English is required.
