Position Overview:
As a Legal Manager at our headquarters, you will be a core member of the company's legal team, reporting directly to the General Counsel. You will be fully responsible for providing high-quality and forward-looking legal support and risk control for the company's overseas oil and gas projects and headquarters operations, ensuring the business develops compliantly and robustly within a complex international environment.
Key Responsibilities:
- Provide end-to-end legal support for the company's overseas projects, including those related to oil and gas exploration, development, production, sales, and joint operations.
- Lead or participate in negotiations for major overseas projects, responsible for drafting, reviewing, and revising various contracts and legal documents in both Chinese and English.
- Assess transaction structures and terms, providing legal advice on matters related to M&A, investments, financing, and other transactions.
- Provide legal opinions and risk assessments regarding the laws, regulations, regulatory requirements, and industry practices of the countries where projects are located.
- Focus on international compliance areas, establishing, improving, and overseeing the implementation of the company's compliance management system.
- Handle various legal disputes for the company, manage external legal counsel, and lead or participate in legal proceedings such as arbitration and litigation.
- Provide daily legal consultation and knowledge training based on business development needs.
Qualifications:
- Bachelor's degree or higher in Law from a renowned university in China or abroad; must have passed the National Unified Legal Professional Qualification Examination. A Juris Doctor (JD) degree from an overseas institution is preferred.
- 5-8 years or more of relevant legal work experience. A combined background in a top-tier law firm and the in-house legal department of a large enterprise (especially in the energy, resources sector, or a large multinational corporation) is preferred.
- Substantial experience in overseas projects, particularly with upstream legal practice in oil & gas or energy projects. Familiarity with internationally recognized oil and gas contract models and industry practices.
- Solid legal expertise, with proficiency in corporate law, contract law, international economic law, and other relevant legal areas.
- In-depth understanding and practical experience in international compliance, cross-border investment, M&A, arbitration, etc.
- Excellent bilingual communication (Chinese and English), negotiation, and document drafting skills.
- Strong business acumen, risk assessment capabilities, and problem-solving skills.
- High sense of responsibility, meticulous and detail-oriented work attitude, and excellent team spirit.
- Ability to thrive under high-pressure working conditions and manage complex, multi-task assignments.
- Ability to effectively communicate and collaborate with overseas teams across different time zones. Willingness to travel for business trips to overseas project sites as required.
