We are seeking an experienced and highly motivated In-House Legal Counsel to join our dynamic legal team at a leading biologics Contract Development and Manufacturing Organization (CDMO). The successful candidate will advise international legal affairs of the company with a focus on supporting cross-border transactions and providing expert advice on global legal compliance programs to help ensure the company's strategic transactions and operations comply with all applicable laws and regulations.
Key Responsibilities:
Ø
Cross-Border Transaction Legal Support
· Advise on all legal aspects of cross-border transactions, including due diligence, structuring, negotiation, drafting, and closing of deals.
· Coordinate with external counsel, internal stakeholders, and counterparties to ensure smooth execution of transactions.
· Identify and mitigate legal risks associated with acquisitions, joint ventures, divestitures, and other strategic alliances.
· Support post-merger integration from a legal perspective, including contract novation, regulatory filings.

Trade Sanctions and Export Control Compliance
· Establish and refine company's trade sanction and export control framework.
· Develop, implement, and maintain internal policies, procedures, and training programs to ensure ongoing compliance.
· Monitor and interpret global trade sanctions, export control laws, and related regulatory developments relevant to the company's operations.
· Advise business units on the impact of sanctions and export controls for daily operation.
· Conduct internal review and risk assessments related to potential sanctions or export control violations.

Other General International Legal Affairs Support
· Draft, review, and negotiate a variety of commercial agreements.
· Provide legal support for other corporate and compliance matters as needed.
· Liaise with regulatory authorities and industry bodies as required.
· Cooperate with local in-house counsel for company's global legal initiative.
Education, skills and qualities
· Law degree (JD, LLM) from a recognized institution, U.S. bar is a must.
· Minimum 10 years of PQE in law firm or company headquarter.
· Demonstrated experience managing complex transactions and regulatory matters across multiple jurisdictions.
· Excellent analytical, negotiation, and communication skills.
· Ability to work independently and collaboratively in a fast-paced, multicultural environment.
Fluency in English.
