The Role:
We are seeking a highly motivated and experienced Investment, M&A, and Project Financing Manager to play a pivotal role in the global expansion of our PV and BESS businesses. This is a high-visibility opportunity to drive our growth strategy, from identifying and evaluating investment opportunities to structuring and executing complex transactions and financing arrangements. You will be a key player in a cross-functional team, contributing directly to our mission of achieving a carbon-neutral future.
Key Responsibilities:
- Investment & M&A Strategy:
- Assist senior leadership in the risk management of the entire project lifecycle, from initiation and acquisition through to execution and exit.
- Identify, evaluate, and execute a robust pipeline of investment and M&A opportunities in the global PV and BESS sectors, including project-level assets and corporate joint ventures.
- Lead and conduct comprehensive due diligence (financial, commercial, legal, technical), review reports from external advisors, and develop mitigation plans for identified risks.
- Develop and refine complex financial models for valuation and perform sensitivity analyses to support investment decisions.
- Prepare and present detailed investment proposals and concise summaries to senior management and the investment committee.
- Structure and negotiate key commercial terms for M&A transactions and joint development projects, including purchase price mechanisms and adjustments.
- Project Financing:
- Lead the structuring and execution of innovative project financing solutions for our global PV and BESS projects, including securing optimal debt, equity, and tax equity.
- Cultivate and maintain strong relationships with a global network of financial partners, including commercial banks, development finance institutions, and investors.
- Manage the entire financing process, from lender outreach and term sheet negotiation to the successful closing of financing agreements.
- Transactional & Commercial:
- Work closely with internal legal teams and external advisors to review and provide commercial and financial input on key transaction documents, including but not limited to Term Sheets/MOUs, SPAs, SHAs, JVAs, and PPAs.
- Validate the terms of agreements, including representations and warranties, to ensure they align with strategic and financial objectives.
- Assist in managing the transaction closing process and ensuring all closing deliverables are met in coordination with cross-functional teams.
- Perform market research on M&A trends, recent transactions, and competitive landscapes within the renewable energy markets, particularly in the APAC region.
Qualifications and Skills:
- Bachelor's degree in Accounting, Finance, Economics, or a related discipline. An advanced degree (MBA, Master's) is a plus.
- A minimum of 2-10 years of relevant experience in financial due diligence, audit, valuation, or corporate finance, with demonstrable experience in the renewable energy sector.
- Sound knowledge of accounting principles, corporate finance, and a strong familiarity with the end-to-end M&A transaction process.
- Exceptional analytical skills with a keen attention to detail, balanced with the ability to see the big picture and understand the strategic implications of transactions.
- Proven ability to develop and manage complex financial models for project valuation and analysis.
- Possesses high professional ethics and a genuine interest in the renewable energy sector.
- Excellent planning, communication, and interpersonal skills.
- Highly fluent in both English and Mandarin is required for this role.
