Contract Management
- To review the contract terms and provide comments, especially on the commercial terms so that the comments can be provided to legal when the contract is submitted to legal for review. To use the legal checklist for the review of contracts as a guide
- To identify the redline clauses and when submitting the contract to legal for review, share with legal the extent of the negotiations of the redline clauses with the counter party and how much the counter party had agreed to compromise.
- To reply to legal's comments and queries raised in respect of the contract terms and if the stakeholder is not competent or qualified to answer any particular queries, to delegate to the relevant person competent and qualified to provide correct and complete answers and information to legal.
- Prepare the salient terms necessary to brief senior management for approvals/guidance and the CAF.
- To monitor and coordinate the contract approval process from contract generation to contract execution, including submission of contract to legal for review
Compliance and Risk Assessment
- To carry out the risk assessment on the contract terms that may give rise to liability on the part of the operating company (e.g. contract terms which oc may have difficulty complying with) and highlight the risks to the Group's legal team
- To ensure that the contract and the contract terms comply with the group's policies, including non-legal policies such as the tender policy and the outsourcing policy
- For NDA, ensure that the contract reviewer has completed the Group's legal NDA questionnaire before submitting the NDA and the completed questionnaire to legal for review.
- Liaise for, collate, and submit answers to legal's comments and queries and ensure that persons providing answers to legal are competent and qualified
- To prepare the Contract Approval Form and complete the Contract Approval Form process Stakeholder Management
- To ensure that the contract has been reviewed by the relevant stakeholders.
- To escalate commercial issues to senior management for guidance and to ensure the risks are properly explained.
- To work with the Group's legal team to escalate redline clauses and other critical issues to senior management and where necessary, to Group President for approval/guidance.
- Act as a liaison between the operating company and the Group's Legal Team.
