Core Job Responsibilities :
- Lead the full-process legal work of major strategic M&A, equity investment, asset acquisition and disposal projects of the group worldwide, including transaction structure design, due diligence, legal document drafting and negotiation.
- Dominate the legal compliance management of complex capital operations, such as listed company mergers and acquisitions, cross-border transactions, and antitrust filings, ensuring projects comply with domestic and foreign regulatory requirements.
- Provide forward-looking legal analysis for the group's M&A strategy, identify legal risks in transactions and formulate effective response plans to protect the group's assets and rights.
- Coordinate internal and external resources, including communication and connection with external law firms, regulatory authorities, and transaction counterparties, to promote the efficient implementation of projects.
- Establish and optimize the group's M&A legal system, including formulating standardized legal processes and template documents, to improve the overall professional capabilities and work efficiency of the team.
Job Qualifications :
- Educational Background: Master's degree or above in law from well-known domestic and foreign law schools, with Chinese legal professional qualification. Those holding bar qualifications in jurisdictions such as the United States, the United Kingdom, or Hong Kong are preferred.
- Work Experience: More than 10 years of practice experience in M&A at top foreign law firms (such as Magic Circle, White Shoe Firm), with at least 3 years of working experience at the partner level or equivalent management level. Experience in M&A in the Internet, technology, consumer retail industries is preferred.
- Professional Competence: Profoundly familiar with domestic and foreign laws and regulations related to M&A, company law, securities law, and antitrust law. Capable of independently handling ultra-large-scale and cross-jurisdictional complex transactions, with excellent legal document drafting and commercial negotiation skills.
- Comprehensive Quality: Strong strategic thinking and business acumen, able to accurately balance legal risks and business development needs. Excellent team management and cross-departmental collaboration skills, strong pressure resistance, and able to adapt to a fast-paced work environment.
- Language Skills: Fluent in both Chinese and English, able to proficiently carry out business as working languages, including legal document writing and business communication.
